Terms of Service
These Terms of Service set out the conditions under which Synergic Pay provides payment infrastructure services to merchants, platforms, and institutions. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of terms
By registering for an account, submitting a demo or onboarding request, or using any Synergic Pay product or API, you confirm that you have read, understood, and agreed to these Terms of Service. If you are acting on behalf of a business, you represent that you have authority to bind that entity to these terms.
2. Eligibility and onboarding
Access to Synergic Pay services is subject to successful completion of our merchant onboarding process, including identity verification, KYC documentation review, and approval by the Synergic Pay compliance team. We reserve the right to decline or defer onboarding at our discretion without obligation to provide reasons. You must be a legally registered business entity or authorised representative thereof to use payment processing services.
3. Permitted use
You agree to use our platform solely for lawful commercial purposes consistent with applicable laws, payment scheme rules, and mobile network operator guidelines. Prohibited uses include processing payments for unlicensed financial services, illegal goods or content, sanctioned entities, or any activity that would expose Synergic Pay or its partners to regulatory or reputational risk.
4. Account and API security
You are responsible for maintaining the confidentiality of your account credentials, API keys, and webhook secrets. All activity originating from your account or API credentials is your responsibility. You must notify us immediately if you suspect unauthorised access, compromise of credentials, or any security incident affecting your integration.
5. Fees and settlement
Synergic Pay charges a percentage fee per transaction as agreed in your merchant agreement or as displayed during onboarding. Fees are deducted at source unless otherwise agreed. Settlement timelines, payout schedules, and float policies are governed by your specific agreement and may vary by product, currency, or payment rail. Synergic Pay is not liable for delays caused by banking partners, mobile network operators, or regulatory holds.
6. Reversals, chargebacks, and disputes
You are liable for chargebacks, reversals, and customer disputes arising from transactions processed on your account. Synergic Pay may hold, offset, or claw back funds from your settlement balance to cover disputed amounts, penalties, or fines imposed by payment networks or regulators. We will make reasonable efforts to notify you before taking such action where circumstances permit.
7. Suspension and termination
We may suspend or terminate your access to the platform immediately and without prior notice if we detect fraud, money laundering, unauthorised activity, material breach of these terms, or risk to the platform or its partners. Upon termination, any outstanding settlement due to you will be processed subject to applicable hold periods and deduction of any amounts owed to Synergic Pay.
8. Intellectual property
All Synergic Pay software, APIs, documentation, branding, and platform components are proprietary. No licence to copy, distribute, or create derivative works is granted beyond what is explicitly required to integrate with our services. You retain ownership of your own data and transaction records.
9. Disclaimer and limitation of liability
Our services are provided on an "as available" basis. We do not warrant uninterrupted availability or error-free operation. To the fullest extent permitted by applicable law, Synergic Pay's total liability for any claim arising from use of our services is limited to the fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, or loss-of-revenue damages.
10. Governing law
These Terms of Service are governed by applicable laws and regulations. Any dispute arising out of or in connection with these terms shall be subject to the jurisdiction of the competent courts in the relevant jurisdiction, unless an alternative dispute resolution process is agreed in writing.
11. Changes to these terms
We reserve the right to update these Terms of Service at any time. We will provide reasonable notice of material changes via the platform or email. Continued use of our services after the effective date of any update constitutes your acceptance of the revised terms.
